IRB InvIT Fund's Board noted receipt of a preliminary, non-binding Invitation to Offer from its Sponsor, IRB Infrastructure Developers Limited, to acquire VM7 Expressway Private Limited — a wholly owned subsidiary of the Sponsor. VM7 is the concessionaire for an 8-lane access-controlled expressway section (Gandeva to Ena) of the Vadodara-Mumbai Expressway in Gujarat, built under Hybrid Annuity Mode (HAM) under Bharatmala Pariyojana Phase I, Package VII. The project has an appraised cost of about Rs 1,702 crore, a 220 lane-km road length, and a 17-year concession period (2 years construction + 15 years operations), and it became commercially operational with provisional completion in May 2025. The acquisition aims to add a stable, revenue-generating operational HAM asset with long-tenor NHAI annuities, expected to enhance payouts for unitholders. The offer is subject to due diligence, definitive agreements, and regulatory and unitholder approvals, with no certainty yet on whether a transaction will proceed.
If consummated, this related-party acquisition would add a newly operational HAM asset with predictable NHAI annuity cash flows to the InvIT's portfolio, potentially boosting future distributions to unitholders; however, with no binding terms, pricing, or structure disclosed yet, near-term impact is limited and investors should await further details.
