Ironwood Education's board held a meeting on November 25, 2025 with several key decisions. Director Ms. Bela Desai (Promoter Group I) resigned with immediate effect, while Mr. Nitish Nagori was redesignated from Managing Director to Executive Director. Mr. Balaji Raghavan (Promoter Group II) was appointed as the new Managing Director without remuneration, subject to shareholder approval. The board also approved raising the authorised share capital from Rs. 16 crore to Rs. 18 crore and a preferential issue of up to 17,11,670 equity shares at Rs. 45 each (about Rs. 7.70 crore) to non-promoter investors. The company will hold an EGM on December 24, 2025 to seek shareholder approval for these decisions. Promoter Group I members will step away from the real estate business, which will now be led by Promoter Group II.
Shareholders should watch the EGM closely as it involves a leadership change at the top, a fresh equity dilution of about Rs. 7.7 crore to new non-promoter investors, and a clear shift in which promoter family group runs the company's real estate operations. Existing shareholders may see modest dilution but also a new strategic direction.
