ITC Limited has acquired 100% of the share capital of Sresta Natural Bioproducts Private Limited (SNBPL), the company behind the '24 Mantra Organic' brand, making it a wholly owned subsidiary effective 13th June 2025. Two step-down subsidiaries — Fyve Elements LLC (USA) and Sresta Global FZE (UAE) — have also become wholly owned. The deal was done in cash with an upfront payment of ₹400 crores (on a cash-free, debt-free basis) plus up to ₹72.50 crores payable over the next 24 months, taking total consideration to up to ₹472.50 crores. SNBPL, incorporated in 2004, reported consolidated turnover of ₹306.1 crores (FY24), ₹327.3 crores (FY23), and ₹326.7 crores (FY22), and works with about 27,500 farmers across 1.4 lakh acres of certified organic land in 10 states.
This acquisition strengthens ITC's play in the fast-growing organic and health-focused food segment, adding a well-established brand and US distribution footprint. For shareholders, it is a strategic, cash-funded move into a future-ready category with synergy potential, though the deal size (~₹472 crores) is small relative to ITC's overall scale.
