Jio Financial Services' board approved issuing up to 50 crore warrants at Rs. 316.50 each, raising up to Rs. 15,825 crore on a preferential/private placement basis. Each warrant is convertible into one equity share of Rs. 10 face value at a premium of Rs. 306.50, within 18 months from allotment. The allottees are two promoter group entities: Sikka Ports & Terminals Limited and Jamnagar Utilities and Power Private Limited. Post full conversion, the promoter group's combined stake will rise from 3.10% (about 19.7 crore shares) to 10.17% (about 69.7 crore shares). The issue is subject to shareholder and other regulatory approvals.
This is a promoter-led capital infusion that strengthens the company's capital base for future lending and growth, but will dilute existing shareholders by roughly 7% on full conversion. Short-term stock reaction may be muted or slightly negative on dilution, though strong promoter commitment is a positive long-term signal.
