JK Cement has completed the acquisition of a 60% equity stake in Saifco Cements Private Limited for Rs. 149.81 Crores in cash, making it a subsidiary of JK Cement with immediate effect. Saifco operates an integrated cement plant in Khunmoh, Srinagar (Jammu & Kashmir), with a clinker capacity of 0.26 MnTPA and grinding capacity of 0.42 MnTPA. Saifco reported turnover of Rs. 73.17 Cr in FY25, Rs. 86.30 Cr in FY24, and Rs. 90.20 Cr in FY23. The deal was executed under a Securities Subscription and Purchase Agreement signed in January 2025, and three directors nominated by JK Cement will now join Saifco's reconstituted board. The transaction is not a related party deal.
This acquisition gives JK Cement a strategic entry into the Jammu & Kashmir market, expanding its geographic footprint. While Saifco's revenue base is modest, the asset adds incremental clinker and grinding capacity and could support JK Cement's growth in northern India. The stock may see a mildly positive reaction given the cash-funded nature and clear strategic rationale, though the deal size is small relative to JK Cement's overall scale.
