JK Lakshmi Cement has approved the acquisition of a 77.96% equity stake in NECEM Cements Ltd., a Guwahati-based cement company, for a cash consideration of ₹19 crore plus takeover of certain past liabilities. NECEM holds about 150 Bigha of Council-leased land in Assam with captive mining rights covering approximately 40 million tonnes of limestone reserves. JK Lakshmi plans to use the asset to set up a 0.95 million tonne clinkerisation unit and a 0.95 million tonne cement grinding unit, which will help accelerate its target of reaching 30 million tonnes of cement capacity. The acquisition is expected to complete by 31st March 2026 and is not a related party transaction. NECEM's FY25 revenue was just ₹1.56 crore with a loss of ₹4.59 crore, indicating it is being acquired primarily for its land and limestone reserves rather than current operations.
This is a strategic, capacity-building acquisition that strengthens JK Lakshmi Cement's presence in the North East and secures long-term limestone reserves. The deal is small in cash terms but strategically valuable as it lays the groundwork for significant future capacity addition, likely to be viewed positively by investors looking at long-term growth prospects.
