JK Paper Limited has issued notices for meetings of equity shareholders, secured creditors, non-convertible debenture holders, and unsecured creditors scheduled for November 2, 2025, as directed by the NCLT Ahmedabad Bench. The meetings will consider a Composite Scheme of Arrangement involving: (i) amalgamation of three wholly-owned packaging subsidiaries — JKPL Utility Packaging Solutions, Securipax Packaging, and Horizon Packs — into JK Paper; (ii) conversion of redeemable preference shares of Enviro Tech Ventures into an unsecured loan; (iii) demerger of part of Enviro Tech Ventures into PSV Agro Products; and (iv) subsequent amalgamation of Enviro Tech Ventures into JK Paper, along with reserve reorganization. The scheme was approved by all relevant boards on December 13, 2024, and observation letters from BSE and NSE were issued on August 4, 2025.
This is a procedural step in an NCLT-led internal restructuring aimed at consolidating JK Paper's packaging business and simplifying the group's corporate structure. Shareholders and creditors will vote on November 2; the outcome and subsequent NCLT sanction will determine the effective consolidation.
