JK Paper Limited's secured creditors and non-convertible debenture (NCD) holders have unanimously approved a Composite Scheme of Arrangement at a meeting held on November 2, 2025, convened under the directions of the NCLT Ahmedabad Bench. The scheme involves amalgamation of three packaging companies — JKPL Utility Packaging Solutions, Securipax Packaging, and Horizon Packs — along with Enviro Tech Ventures, into JK Paper Limited. It also includes a demerger of part of Enviro Tech Ventures into PSV Agro Products and conversion of Enviro Tech's preference shares into an unsecured loan. All 5 secured creditors (representing Rs. 1,259.53 crore) and the sole NCD holder (representing Rs. 254.49 crore) voted 100% in favor, with zero votes against. The scheme now moves to the next stage of NCLT approval and sanction before it can take effect.
This is a positive step for JK Paper shareholders, as creditor clearance is a key milestone in the restructuring. Once the NCLT grants final sanction, JK Paper will absorb these packaging and allied businesses, potentially expanding its operations and streamlining its group structure, though the final share swap ratio and other shareholder-level approvals are still pending.
