JK Paper Limited held a meeting of its unsecured creditors on 2nd November 2025, as directed by the NCLT Ahmedabad Bench, to seek approval for a Composite Scheme of Arrangement. The scheme proposes to merge three packaging companies (JKPL Utility Packaging Solutions, Securipax Packaging, and Horizon Packs) and Enviro Tech Ventures Limited into JK Paper, while also demerging a part of Enviro Tech's business into PSV Agro Products and converting its preference shares into an unsecured loan. The resolution was approved with overwhelming support, with 649 creditors (representing Rs. 241.15 crore or 99.86% of votes) voting in favour, and just 1 creditor (worth Rs. 34.72 lakh or 0.14%) voting against. The total value of votes polled was Rs. 241.50 crore.
This is a key procedural milestone that paves the way for the corporate restructuring to move forward, though it still requires further NCLT and other regulatory approvals before becoming effective. Consolidation of the packaging businesses under JK Paper could strengthen its product portfolio and operational scale, which is broadly positive for shareholders, but the exact financial impact will depend on the final scheme terms and swap ratio.
