JSW Energy's step-down subsidiary Beempow Energy Private Limited has ceased to be a subsidiary after the transfer of the remaining 51% stake on 6th June 2025. The stake was sold to EPIC Green Urja Private Limited and schemes of Infrastructure Yield Trust, following an agreement originally signed in March 2024. The total consideration for 100% of Beempow was Rs. 302.658 crores, of which 49% was transferred earlier. Beempow contributed nil revenue and 0% to JSW Energy's turnover in the last financial year, indicating it was a non-operational or pre-revenue entity. The buyers are unrelated to the promoter/promoter group, and the transaction is not a related party transaction.
The divestment is a portfolio cleanup with negligible impact on revenue or earnings since Beempow contributed zero income. Shareholders may view this positively as it brings in cash (part of the larger O2 Power acquisition integration) and simplifies the group structure, but it is unlikely to move the stock price meaningfully.
