AI summary

Kajaria Ceramics' Board, at its meeting on September 29, 2025, approved a major leadership succession. Founder Ashok Kajaria (age 78) has been re-designated as Chairman (whole-time director) and will delegate major responsibilities to his two sons. Chetan Kajaria has been elevated from Joint Managing Director to Vice Chairman, while Rishi Kajaria has been elevated from Joint Managing Director to Managing Director. All three appointments are for a 5-year term effective October 1, 2025, subject to shareholder approval. Separately, the Board increased its investment limit in subsidiary Kajaria Adhesive Private Limited (KAPL) from Rs. 16 Crores to Rs. 23 Crores, along with Rs. 6 Crores in working capital support. KAPL is setting up a tile adhesive manufacturing facility in Erode, Tamil Nadu, and currently has nil turnover with a Rs. 7.31 Lakh loss.

Likely market impact

The restructuring formalizes a clear succession plan with the founder stepping back from day-to-day operations while the next-generation Kajaria family members take charge as Vice Chairman and MD — providing continuity but keeping leadership entirely within the promoter family. The additional Rs. 13 Crore investment signals an expansion into the tile adhesives segment, a logical adjacency to Kajaria's core tile business, though the subsidiary is still pre-revenue.
