Kalind Ltd has submitted its annual Secretarial Compliance Report for FY 2025-26, audited by Practicing Company Secretary Riddhi Shah. The report flagged two minor deviations: a 3-day delay in submitting Q2 (September 2025) quarterly results, for which BSE levied a fine of Rs. 15,000 (paid by the company); and a 23-day delay in obtaining shareholder approval for the regularisation of Mrs. Ketanaben Jasani's appointment as Non-Executive Non-Independent Director (appointed 5 Dec 2025, approved by shareholders on 27 March 2026). The company also underwent two auditor resignations during the year — M/s. B.R. Pancholi & Co. (resigned Nov 2025) and M/s. JMMK & Co. (resigned Feb 2026). The current auditor is M/s. P H H A D & CO LLP. All other compliance areas, including secretarial standards, related party transactions, insider trading norms, and website disclosures, were found satisfactory.
Two regulatory lapses with minor consequences — a Rs. 15,000 fine already paid and a 23-day compliance delay already rectified. The repeated auditor changes may draw scrutiny from exchanges but overall governance is largely compliant.
