Kalpataru Projects International (KPIL) is selling a 3.45% stake (6,900 shares) in its Swedish step-down subsidiary Linjemontage i Grästorp AB (LMG) to identified employees and directors, plus granting 900 stock options (0.45%) under an ESOP-like scheme. Together this covers up to 5% of LMG's equity, aggregating to SEK 35.81 Million (~USD 3.6 Million) in consideration at SEK 5,190.48 per share. The deal's effectiveness was contingent on a share split registration by the Swedish Companies Registration Office, which was originally expected by 31st August 2025 but is now delayed to on or before 30th September 2025. LMG contributed about 8.26% of KPIL's consolidated revenue and 3.28% of net worth in FY25. Consideration will be received in tranches by 30th March 2027, and stock options will vest by 30th June 2026.
This is essentially a management incentive plan for KPIL's Swedish subsidiary, not a strategic divestment – KPIL remains the controlling shareholder of LMG after the transaction.
