Kalyani Steels purchased 10,000 equity shares of its subsidiary DGM Realties Private Limited from KSMS Technologies Solutions at Rs.172 per share, aggregating Rs.1.72 million in cash. With this buyout, Kalyani Steels' stake in DGM has risen from 99.92% to 100%, making it a wholly owned subsidiary. DGM holds a 25-acre land parcel near the Bengaluru-Mysuru Highway Corridor, which the company plans to use for its marketing network, business development, service and distribution centre. The transaction is with a related party (common promoter control) but conducted at arm's length. DGM operates in real estate and reported turnover of Rs.36.01 million in FY25, Rs.5.71 million in FY24, and Rs.99.35 million in FY23.
The deal size is very small (Rs.1.72 million) and unlikely to move the stock, but it gives Kalyani Steels complete ownership of a subsidiary holding strategically located land that the company intends to develop for its own business infrastructure, providing long-term operational flexibility.
