Kamat Hotels (India) Limited (KHIL) has taken control of Ilex Developers & Resorts Limited (ILEX) by signing a Shareholders Arrangement Agreement (SAA) on June 19, 2025. ILEX, which was earlier treated as a joint venture of KHIL, will now be classified as a subsidiary of KHIL for accounting purposes. There is no monetary consideration involved and no change in share ownership — the principal shareholders of ILEX, who are part of KHIL's promoter group, have simply handed over board control, voting rights, and decision-making authority to KHIL. ILEX operates in the hotel and hospitality industry with a turnover of around ₹18.6 crore in FY25 and a net profit of about ₹89 lakh. Dr. Vithal V. Kamat, KHIL's Executive Chairman & MD, is a common shareholder and board member in both companies.
This is mainly a corporate restructuring move to consolidate and centralize ILEX under KHIL's umbrella, with no fresh cash outflow or equity dilution for KHIL shareholders. Since the deal is between promoter-group entities, it qualifies as a related party transaction but involves no arm's-length pricing. Investors may view this positively as it brings a hotel-industry subsidiary fully under KHIL's control, potentially improving operational synergies, though it does not trigger any open offer as share ownership remains unchanged.
