KFin Technologies' board, at its June 24, 2025 meeting, approved three key items subject to shareholder approval at the upcoming AGM. First, Mr. Vishwanathan Mavila Nair has been re-appointed as Non-Executive Director and Chairperson for a second 1-year term starting October 1, 2025, running until September 30, 2026. He has been with the company since November 2018. Second, M/s. D V Rao & Associates has been appointed as the Secretarial Auditor for a 5-year period from FY2025-26 to FY2029-30. Third, the authorised share capital will be increased from Rs. 176 crore to Rs. 200 crore — adding Rs. 24 crore worth of equity share capacity. The company stated this capital increase is specifically to enable issuance of shares under the KFin ESOP 2024 and KFin ESOP 2020 employee stock option plans to incentivise and retain talent.
The re-appointment of the experienced Chairperson signals continuity in leadership. The authorised capital increase is purely to support existing ESOP schemes and does not involve dilution from a fresh equity raise at this stage, though it creates room for future employee-related share issuances. These are routine governance and housekeeping matters with no immediate material impact on shareholders' stake.
