KFin Technologies' board has approved acquiring a 51% stake in Ascent Fund Services (Singapore) Pte. Ltd. for USD 34.68 million (~₹290 crore) in cash as the first step. The company will acquire the remaining 49% in three equal tranches of 16.33% each over the next five years (between 2028 and 2030), eventually taking 100% ownership. To execute the deal, KFin will set up a wholly owned Singapore subsidiary (KFin Singapore Pte. Ltd.) with an investment of up to USD 35 million. Ascent Fund is a fast-growing global fund administrator servicing 576 alternative investment funds across 18 countries, with FY24 turnover of USD 13.32 million (up from USD 7.42 million in FY22). The initial deal is expected to close in 3-4 months, subject to approvals from SEBI, RBI, PFRDA and other regulators.
This is a major international expansion for KFin, giving it a strong foothold in global fund administration services for alternative investment managers. The deal diversifies revenue geographically and adds scale, but involves significant cash outflow and execution risk tied to multiple regulatory approvals across jurisdictions.
