The NCLT Mumbai Bench has approved the merger of two wholly owned subsidiaries — Oliver Engineering Pvt Ltd (ferrous castings and machining) and Adicca Energy Solutions Pvt Ltd (solar power turnkey projects and renewable energy consultancy) — into Kirloskar Ferrous Industries Ltd (KFIL). The order was pronounced on June 2, 2026 and uploaded on June 3, 2026. Since both transferor companies are wholly owned subsidiaries of KFIL, no shares will be issued and no consideration will change hands. The appointed date for the merger is April 1, 2025. The merger aims to consolidate businesses, reduce the number of group entities, cut compliance costs, and create synergies. Two existing investigations against KFIL by the Competition Commission of India and the Serious Fraud Investigation Office were noted in the order. KFIL will now file the order with the Registrar of Companies within 30 days.
This is a purely internal restructuring for KFIL shareholders — no new shares, no cash outflow, and no change in shareholding pattern since both targets are wholly owned. The merger simplifies the group structure, may lead to modest cost savings over time, and brings the subsidiaries' businesses (castings, machining, solar EPC) directly under the listed entity, but it is unlikely to cause any material movement in the stock price.
