The board approved unsecured loans of up to EUR 20 million from HSBC and GBP 20 million from SMBC for wholly owned KPIT UK to fund acquisitions. KPIT gave no guarantee. In 2025, KPIT bought Caresoft's engineering business for up to USD 157 million, increased its N-Dream stake to 88.9% for EUR 16.35 million, and invested USD 10 million in Helm.ai. Management expects the deals to boost technology capabilities, innovation and long-term growth.
The loans support growth through acquisitions but add debt and interest costs. KPIT gave no guarantee, and promoters have no role in the borrowing.
