Landmark Cars Limited reported strong full-year FY2026 results with consolidated revenue of Rs 18,962.29 million (up 18.3% YoY) and consolidated PAT of Rs 380.62 million (up 119.5% YoY). The Board approved a scheme of amalgamation where Landmark Cars Limited (Transferee) will merge with its wholly-owned subsidiary Landmark Cars (East) Private Limited (Transferor), which was acquired in October 2025. No new shares will be issued as the subsidiary is already 100% owned. The scheme requires NCLT and regulatory approvals. Additionally, the Board recommended a final dividend of Rs 1.50 per share (30% payout), approved 37,000 ESOPs for employees, and approved promoter reclassification for Ms. Spruha Mehta from promoter to public category.
The amalgamation of the wholly-owned subsidiary will simplify the group structure without diluting shareholder value. Strong profit growth and dividend recommendation are positive signals for investors.
