Larsen & Toubro has signed a Share Purchase Agreement to buy the entire 40% stake held by its JV partner Sapura Nautical Power Pte Ltd in L&T Sapura Shipping Private Limited (LTSSPL), a 60:40 joint venture. L&T will pay a cash consideration of about ₹122.39 crore (₹19.26 per share) for 6.35 crore equity shares, and will also repay a shareholder loan of US$16.93 million owed to Sapura. Post the deal, expected to close by January 31, 2026, LTSSPL will become a wholly owned subsidiary of L&T. LTSSPL owns and operates a Heavy Lift cum Pipe Lay Vessel used for offshore oil & gas projects and reported a turnover of ₹154.12 crore in FY25. No regulatory approvals are required for the transaction.
This is a small, value-accretive consolidation move for L&T — LTSSPL's turnover of ~₹154 crore is negligible relative to L&T's massive order book, so minimal impact on financials. The acquisition gives L&T full operational control of the HLPV vessel for offshore hydrocarbon projects, supporting its core engineering and construction business in India and the Middle East.
