Laxmi Dental's board approved acquiring a 58% stake (49% equity + 9% CCPS) in IDBG AI Dent Global Private Limited, a DPIIT-recognized AI-dentistry startup, for a total investment of up to ₹2.05 crore. This includes about ₹1.37 crore for 11,175 equity shares and ₹62.88 lakh for 5,123 compulsorily convertible preference shares, both at a premium of ₹1,217.5 per share. AI Dent was incorporated in December 2024, has no revenue history, and works on AI-powered dental imaging and X-ray analysis software. The transaction is at arm's length, not a related-party deal, needs no regulatory approvals, and is expected to close by September 30, 2025. The board also reconstituted its Nomination and Remuneration Committee with three independent directors.
The deal size is small (₹2.05 crore) relative to a listed company, so the immediate financial impact is minor. However, it signals a strategic push into AI-driven dental technology, which could be a positive long-term growth signal for shareholders if the startup scales successfully.
