Five acquirers (Vasantkumar Mangroliya, Madhubhai Vekaria, Pavankumar Trivedi, Vinubhai Vekaria, and Manan Trivedi) are making a mandatory open offer to buy up to 26,00,000 equity shares (26% of fully diluted expanded capital) of Yash Trading & Finance Limited at ₹12 per share, totalling ₹3.12 crore. This follows a Share Purchase Agreement dated April 9, 2025, to acquire 27,55,000 shares (27.55% of expanded capital) from 13 public shareholders at ₹10.50–₹11 per share, plus a preferential allotment of 70,00,000 shares at ₹12 per share to the acquirers. After completion, the acquirers will hold 74.55% of the expanded voting capital and become the new promoters. The target company is a small, loss-making BSE-listed entity under Enhanced Surveillance Measure (ESM) Stage 2, with infrequent trading (0.33% annual turnover) and a current promoter who is in jail.
Existing public shareholders can tender shares at ₹12 per share in cash during the tendering period, which is above the highest negotiated SPA price of ₹11. The offer will result in a complete change of control, with new promoters taking over a virtually inactive company that may pivot into new business lines such as auto ancillaries or renewable energy.
