Lloyds Engineering Works Limited's board, on July 1, 2025, approved the acquisition of an additional 11% stake (13,75,000 equity shares) in Techno Industries Private Limited (TIPL) for a cash consideration of Rs. 25 crores. This is the second tranche under a Share Purchase Agreement originally signed on July 30, 2024, and will take Lloyds' total holding in TIPL to 88%. TIPL manufactures and markets pumps, motors, and elevators, and reported a turnover of Rs. 167.56 crores in FY24 (up from Rs. 148.33 crores in FY23). The acquisition is a strategic move to expand Lloyds' product portfolio into electrical engineering products. The transaction is not a related party deal and is expected to close within three months of the first closing.
This acquisition strengthens Lloyds Engineering's control over TIPL (rising to 88%) and diversifies its revenue base into the pumps, motors, and elevators segment, which has shown consistent growth. Shareholders may view this positively as it consolidates a high-growth subsidiary, though the Rs. 25 crore cash outflow and integration risks should be monitored.
