On the reaction day the stock moved 0.9 pts less than Nifty Microcap 250 and 1.8 pts less than its Industrial Products peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

Lloyds Engineering Works (LEWL) has called an NCLT-ordered equity shareholders meeting on October 16, 2026 to approve a merger by absorption. Lloyds Infrastructure and Construction (LICL), Metalfab Hightech (MHPL), and wholly-owned Techno Industries (TIPL) will merge into LEWL. Share swap ratios: 1798 LEWL shares for every 1500 LICL shares; 94 LEWL shares for every 5 MHPL shares; no consideration for TIPL. LICL brings an order book of over Rs 4,500 crore. Appointed date: April 1, 2025. NCLT order dated August 19, 2026.
If approved, LEWL will gain scale, a Rs 4,500 crore-plus order book, and cost synergies. Approval needs three-fourths majority by value plus majority of public shareholders.
