The board of Lloyds Engineering Works (LEWL) approved a scheme to merge Lloyds Infrastructure and Construction (LICL), Metalfab Hightech (MHPL) and Techno Industries (TIPL) into LEWL by absorption. Scheme under Sections 230-232 of Companies Act, subject to NCLT and other approvals. Swap ratios: 1,798 LEWL shares per 1,500 LICL shares, 94 LEWL shares per 5 MHPL shares, no new shares for TIPL since LEWL already owns it. LICL brings an order book over Rs 4,500 crore. LICL turnover Rs 911 crore, LEWL turnover Rs 434 crore. Related party transaction at arms length.
Group restructuring to consolidate engineering and infrastructure businesses under LEWL; awaits NCLT and shareholder approvals.
