Lloyds Metals is seeking shareholder approval via postal ballot for a material related party transaction with its 75.62% subsidiary Thriveni Earthmovers and Infra Private Limited (TEIL) for FY2026-27, valued at Rs. 15,820 crore. The transaction is 235% of the company's FY25 consolidated turnover of Rs. 6,721 crore, and includes purchases, sales, services, loans/advances (Rs. 2,000 crore), and corporate guarantees (Rs. 6,000 crore). TEIL became a subsidiary only in July 2025, and prior FY25 transactions were nil. The company's Managing Director Mr. Balasubramanian Prabhakaran is also Chairman and Director of TEIL. E-voting runs from March 31, 2026 to April 29, 2026, with results to be declared within two working days.
This is a routine corporate governance step to comply with SEBI's related party transaction rules since the proposed value exceeds the materiality threshold. The large guarantee component (Rs. 6,000 crore) to a recently acquired subsidiary with negative profit after tax may raise investor questions about risk exposure, though the transactions are framed as arm's length and in the ordinary course of business.
