Lloyds Metals is updating on its December 2024 plan to acquire a 79.82% stake (7 crore equity shares) in Thriveni Earthmovers and Infra Pvt Ltd (TEIL) for Rs. 70 crores. The Competition Commission of India (CCI) cleared the deal on May 13, 2025. The transaction involves three linked steps: demerger of the Mining Development and Operations (MDO) business from Thriveni Earthmovers Pvt Ltd into TEIL, Lloyds subscribing to TEIL shares, and TEIL acquiring a majority stake in Lloyds Surya Pvt Ltd. The detailed CCI order is awaited, and the demerger is still pending approval from the National Company Law Tribunal (NCLT).
CCI clearance removes a key regulatory hurdle and moves the deal closer to completion. However, NCLT approval is still needed before the transaction can close. If completed, the deal would significantly expand Lloyds' mining footprint and create a vertically integrated structure with Thriveni's MDO business.
