The Board of Mach Conferences and Events Limited has approved acquiring a 60% equity stake in Travexel Events and Travel Private Limited, an event management company incorporated on 12 March 2023. Mach will invest Rs. 1.5 lakh for 15,000 equity shares (60% of post-issue capital) and an additional Rs. 48.5 lakh in 4,85,000 preference shares, taking the total cash investment to Rs. 50 lakh. Travexel's turnover grew sharply from Rs. 7 lakh in FY24 to Rs. 1.25 crore in FY25, and it operates in the same line of business as Mach (conferences, exhibitions, and corporate events). The deal is not a related party transaction, requires no government or regulatory approvals, and is expected to be completed within 60 days. Post acquisition, Travexel will become a subsidiary under joint control of Mach and the existing promoter.
This is a small, tuck-in acquisition (Rs. 50 lakh total outlay) in Mach's core event-management space, likely aimed at capability expansion rather than a material earnings driver in the near term. For shareholders, the deal is non-dilutive and debt-free, but the strategic benefits will depend on how quickly Travexel's revenue scales after integration.
