The board approved buying Actis's 25.65 percent stake in its subsidiary Mahindra Homes for up to Rs 90 crore in cash. Subject to shareholder approval, the company's ownership will rise from 74.35 percent to 100 percent, with closing expected within three months of signing the purchase agreement. It is a related party deal on fair terms. Mahindra Homes' turnover was nil in FY25, Rs 6.56 crore in FY24 and Rs 8.81 crore in FY23.
Mahindra Lifespace gains full ownership of Mahindra Homes and removes Actis as a partner, but must pay up to Rs 90 crore in cash. Shareholder approval is pending.
