Board approved transferring the Alembic Undertaking (a Bengaluru residential project) to wholly-owned subsidiary MBLDL on a slump sale basis (net up to Rs. 100 crores). Company will then form a JV with Japan's Mitsui Fudosan Asia by transferring 49% stake in MBLDL. Post-deal, Mahindra Lifespace holds 51% and Mitsui Fudosan 49%. MBLDL will undertake a rights issue of about Rs. 230.30 crores, subscribed by both partners in 51:49 ratio. Expected to close by March 31, 2026.
Strategic JV with global real estate major Mitsui Fudosan brings capital, brand and expertise; should strengthen Bengaluru project execution and balance sheet.
