Mahindra & Mahindra has completed the acquisition of 58.96% stake in SML Isuzu Limited for a total cash consideration of about Rs. 555 crore (at Rs. 650 per share). M&M bought 43.96% from Sumitomo Corporation and 15% from Isuzu Motors, giving it controlling stake. M&M is now classified as the promoter of SML Isuzu, making it a listed subsidiary of the Mahindra group. An open offer for an additional 26% from public shareholders at Rs. 1,554.60 per share has been triggered under SEBI takeover rules. SML Isuzu is a commercial vehicle maker (buses, trucks, LCVs, MCVs) with FY24 turnover of Rs. 2,196 crore. The deal strengthens M&M's presence in the trucks and buses segment, where it plans to grow market share from 3% to 20%+ over the long term.
Positive for M&M shareholders as the company expands its commercial vehicle portfolio with a profitable, listed subsidiary. The open offer price of Rs. 1,554.60 provides a clear valuation reference for SML Isuzu shareholders. Integration synergies and market share gains could drive long-term value, though the Rs. 555 crore cash outlay and open offer obligations are near-term capital commitments.
