Mahindra & Mahindra has executed Share Purchase Agreements on 25th June 2025 to reorganise its defence businesses within the group. M&M will sell its 100% stake in Mahindra Defence Systems Limited (MDSL) to Mahindra Advanced Technologies Limited (MATL) via a share swap valued at Rs. 1,218.16 Crores. Additionally, MDSL will sell its 88% stake in Mahindra Emirates Vehicle Armouring FZ LLC (MEVA) for Rs. 33.66 Crores and its 100% stake in Mahindra Telephonics Integrated Systems Limited (MTISL) for Rs. 4.53 Crores, both to MATL. MATL is a newly incorporated wholly owned subsidiary of M&M (set up in April 2025) that will act as a holding company for the group's security and advanced technology businesses. The three entities together contributed only about 0.7% of M&M's consolidated turnover in FY25, so the financial impact on the parent is minimal. All transactions are between group companies and are classified as related party transactions done at arm's length, with completion expected by 23rd September 2025.
This is a purely internal restructuring - none of the businesses are leaving the Mahindra group, and the financial contribution of these subsidiaries to M&M's consolidated numbers is very small (under 1% of turnover and net worth).
