Torextron Ventures Private Limited has completed an open offer to buy up to 18,09,967 shares (26% of voting capital) of Mardia Samyoung Capillary Tubes from public shareholders at ₹5.00 per share, totaling up to ₹90.50 lakh. The offer was triggered because Torextron bought 48,31,595 shares (69.41%) from 14 promoter group entities via a Share Purchase Agreement at the same ₹5.00 price. The offer ran from June 19 to July 2, 2025, with payment made on July 16, 2025. However, public shareholders showed almost no interest — only 130 shares were tendered against the 18.09 lakh on offer. As a result, the acquirer's post-offer holding stands at 69.41% (entirely from the SPA), not the initially proposed 95.41%.
This marks an effective change of control of the listed company to Torextron Ventures, with the promoter group fully exiting. The dismal tendering response suggests public shareholders did not find the ₹5.00 offer price attractive or were unaware, leaving nearly the entire public float untouched. Going forward, retail investors should expect delisting risks or continued low liquidity, and governance will now be driven by the new acquirer.
