Max Estates Limited has informed the Exchange in continuation of earlier intimation dated March 27, 2025, regarding the execution of a binding Memorandum of Understanding with New York Life Insurance Company, that the Company and New York Life Insurance Company has subscribed the CCD's issued by Max Estates Noida Private Limited and Boulevard Projects Private Limited.

Max Estates has executed a binding MoU with New York Life Insurance Company (NYL), a major global insurer, for investment in two of its subsidiaries — Boulevard Projects Private Limited (BPPL, wholly-owned) and Max Estates Noida Private Limited (MENPL, subsidiary). NYL has subscribed to 10% coupon unsecured CCDs worth about ₹484 crore in total across both entities (₹257 crore in BPPL and ₹227 crore in MENPL). Max Estates has also subscribed to CCDs worth about ₹491 crore in these subsidiaries. Since the CCDs are compulsorily convertible, NYL will eventually become a shareholder in these subsidiaries. The transaction follows up on the initial MoU signed on March 27, 2025.
