Motilal Oswal Financial Services' wholly-owned subsidiary has signed definitive agreements to acquire 1,69,018 Compulsorily Convertible Preference Shares (CCPS) of Pune-based IL JIN Electronics (India) Private Limited for approximately ₹110 crore in cash. IL JIN operates in the Electronics Manufacturing Services (EMS) space, manufacturing printed circuit boards and PCB assemblies, and reported a turnover of around ₹1,460 crore in FY25, up sharply from ₹913 crore in FY24. The deal is classified by MOFSL as part of its treasury investment book, aimed at generating long-term sustainable returns rather than a core strategic acquisition. The transaction is not a related-party deal, requires no regulatory approvals, and is expected to close within 60 days.
Since the investment is routed through the treasury book, it is unlikely to materially shift MOFSL's core financial services business, but the CCPS structure means it could convert into equity ownership in IL JIN over time. Shareholders should view this as a non-core capital deployment; near-term stock impact should be limited unless conversion terms or future ownership stakes are later disclosed.
