NBCC board approved a scheme to merge its wholly owned subsidiary HSCC (India) into NBCC. HSCC, a healthcare infrastructure consultancy under the same Ministry, had FY26 turnover of about Rs 1,850 crore versus NBCC's about Rs 9,755 crore. No new shares or cash will be issued since HSCC is fully owned by NBCC, so shareholding pattern remains unchanged. The merger aims to consolidate operations, cut compliance and admin costs, and simplify the group structure. Subject to MCA and other regulatory approvals.
No share dilution; simplifies group structure and may lower costs. Subject to regulatory approvals.
