NDA Securities has issued a corrigendum to its EGM notice regarding a preferential issue of equity shares. The issue size has been revised from 1,75,00,000 shares at Rs. 36.60 to 1,70,00,000 shares at Rs. 37 per share, aggregating about Rs. 62.90 crore. The revision was made because the stock exchanges flagged that the original plan to allot shares to two group companies (Titanium Holdings India and BIR Foods & Restaurants) would amount to a change in control. Instead, shares will now go to existing promoter Ram Gopal Jindal (59 lakh shares) and promoter group member Gaurav Jindal (50 lakh shares), with the balance going to four non-promoter entities. The relevant date for pricing was also moved back from February 16 to February 13, 2026, and the EGM is scheduled for March 16, 2026.
Existing non-participating shareholders will see some dilution as the promoter group's stake expands, but the revised structure avoids the regulatory complications of a change in control that exchanges had raised. The slight reduction in total issue size means marginally less capital raised than originally planned.
