NDR Auto Components' Board, at its May 9, 2025 meeting, recommended a final dividend of Rs. 2.75 per equity share (27.50% on Rs. 10 face value), subject to shareholder approval at the AGM on July 10, 2025. The record date for the dividend is July 3, 2025. On the financial side, standalone revenue grew to Rs. 71,277.91 lakhs in FY25 from Rs. 60,157.01 lakhs in FY24 (up ~18.5%), while standalone profit after tax rose to Rs. 4,508.38 lakhs (up ~36.7%); consolidated PAT came in at Rs. 5,325.79 lakhs. The Board also approved a 50:50 joint venture with Japan's Hayashi Telempu to manufacture auto components (ambient lights, carpets, dash inner, tonneau covers, etc.) in India, and appointed S.R. Batliboi & Co. LLP as statutory auditors for five years. The Board noted an Income Tax demand of Rs. 502.20 lakhs plus Rs. 94.68 lakhs in penalties as a contingent liability, with the company planning to appeal.
The dividend of Rs. 2.75 per share offers a modest payout to shareholders and reflects healthy FY25 earnings growth. The Hayashi Telempu JV signals expansion of the product portfolio in auto interiors, which could support future revenue, while the income tax demand remains a near-term overhang though management expects a favourable outcome on appeal.
