Nila Spaces Limited announced audited standalone and consolidated financial results for Q4 and FY ended March 31, 2025, alongside a strategic acquisition. Standalone total income rose sharply to about Rs. 135.8 crore from Rs. 95 crore in FY24, with standalone profit before tax of Rs. 6.84 crore vs Rs. 5.22 crore. On a consolidated basis, total income was Rs. 144.4 crore (vs Rs. 101.8 crore) and profit after tax was Rs. 14.67 crore (vs Rs. 13.42 crore). The Board approved a Rs. 84.85 lakh investment in Smarter Dharma Sustainable Solutions Private Limited through 380 compulsorily convertible preference shares (face value Rs. 10), which upon conversion will give a 2.32% stake. The target is a SaaS platform focused on sustainable real estate; the deal is not a related-party transaction and is expected to close by May 30, 2025. The Board also appointed Umesh Ved & Associates as secretarial auditor for five years (FY26-FY30), along with new internal and cost auditors for FY26.
Strong year-on-year revenue and profit growth, especially on a consolidated basis, is a positive for shareholders. The acquisition is a small strategic investment (about Rs. 85 lakhs for a 2.32% stake) and is unlikely to move the stock materially on its own, but signals the company's interest in sustainability-focused real estate tech.
