Novartis AG (the parent) is selling its entire 70.68% stake (1,74,50,680 shares) in Novartis India to a consortium of WaveRise Investments, ChrysCapital Fund X, and Two Infinity Partners, as per a Share Purchase Agreement signed on February 19, 2026. This has triggered a mandatory open offer for an additional 26% (64,19,608 shares) from public shareholders at INR 860.64 per share. The Committee of Independent Directors, after reviewing the offer documents and valuation report from A R C H and Associates, has recommended the offer as fair and reasonable per SEBI's pricing framework. Importantly, the IDC flagged that the closing market price on June 4, 2026 was INR 1,351.20, which is significantly higher than the offer price of INR 860.64. Axis Capital is managing the offer.
Public shareholders are being asked to tender shares at INR 860.64, but the stock is currently trading roughly 57% above the offer price, suggesting the market values the shares higher than what the acquirers are offering. Shareholders should weigh whether to tender in the open offer or hold/sell in the market at prevailing prices. The change in controlling shareholder from global pharma major Novartis AG to a private equity-led consortium signals a major shift in ownership and potential strategic direction.
