The board of One Global Service Provider Limited approved acquiring a 51% equity stake in two healthcare/diagnostics companies — Matrix Labs Diagnocare Pvt Ltd (MLDPL, FY25 turnover ~Rs. 171.30 Cr) and Matrix Labs Pvt Ltd (MLPL, FY25 turnover ~Rs. 8.92 Cr). The deal is structured entirely as a share swap, with no cash outflow. The company will allot 7,15,040 equity shares at Rs. 553 each (face value Rs. 10, premium Rs. 543), aggregating to roughly Rs. 39.54 Cr, to the selling shareholders Mr. Suresh and Ms. Nithya S. Share Purchase Agreements were signed on September 3, 2026. Additionally, the authorised share capital is being doubled from Rs. 25.05 Cr to Rs. 50 Cr to accommodate the preferential issuance, subject to shareholder approval at the AGM on September 29, 2026.
Post the deal, MLDPL and MLPL will become subsidiaries of One Global, marking its entry into the medical diagnostics and IVD sector. Existing shareholders will see dilution as new shares are issued to the sellers (Mr. Suresh will hold about 3.29%, Ms. Nithya S about 0.24% post-issue). The move could lift revenue meaningfully given MLDPL's Rs. 171+ Cr turnover, but completion is subject to shareholder and regulatory approvals and may take up to 6 months.
