Oricon Enterprises has signed a Business Transfer Agreement with Guala Closures (India) Private Limited to sell its metal crown seals and roll-on pilfer-proof closures business located at MIDC Murbad, Thane, Maharashtra, through a slump sale on a going concern basis. The enterprise value of the deal is Rs. 42.50 crores, payable on completion expected by December 7, 2025 (about 4 months from execution). The business being sold contributed Rs. 110.46 crores in turnover (about 20.75% of Oricon's total revenue) and Rs. 44.12 crores in net worth (5.46%) for FY ending March 2025. The transaction is subject to shareholder approval via postal ballot and other regulatory clearances, and the buyer is not related to the promoter group.
This is a significant divestiture — the divested unit contributes roughly one-fifth of Oricon's revenue, meaning the company will become smaller and more focused on its remaining businesses (collapsible tubes, real estate, trading, and investments).
