Oricon Enterprises has completed the transfer of its Metal Crown Seals and Roll On Pilfer Proof Closures manufacturing business, located at MIDC Murbad, Thane (Maharashtra), to Guala Closures (India) Private Limited. The transfer has been executed as a slump sale on a going concern basis, in line with the Business Transfer Agreement signed on August 08, 2025, and is effective from November 04, 2025. The transaction involves an entire undertaking (plant, operations, trading and sale) being divested in one go to a specialist packaging buyer. The disclosure is made under Regulation 30 of SEBI (LODR) Regulations, 2015.
This is a portfolio rationalisation move — Oricon exits the metal closures business entirely and receives a lump-sum cash inflow (quantum not disclosed in this filing), which may strengthen its balance sheet but reduce revenue from this segment. Shareholders should watch for the next filing detailing sale consideration and accounting impact, as that will clarify whether the deal is value-accretive.
