Orient Hotels Ltd board approved a scheme of amalgamation into The Indian Hotels Company Ltd (IHCL). IHCL already holds 37.05 percent of OHL as promoter, making this a related party transaction. Swap ratio: 25 IHCL shares for every 117 OHL shares held by public shareholders. OHL standalone revenue was 500.7 crore and net worth 480.5 crore as on March 31, 2026, versus IHCL at 5,640 crore revenue and 12,767 crore net worth. Scheme subject to NCLT, shareholder, creditor and regulatory approvals.
OHL public shareholders will receive IHCL shares in exchange. No cash consideration. Deal awaits NCLT and other approvals before becoming effective.
