The NCLT New Delhi Bench, via its order dated 23rd September 2025, has approved a Scheme of Amalgamation under Sections 230-232 of the Companies Act, 2013, consolidating four promoter group entities into Arihant Exports Private Limited (AEPL). The merging entities are MVA Finance, Inder Overseas, Nityanand Exports and Consultants, and VMA Finance Private Limited. Pasupati Acrylon itself is not a party to this scheme. Three of the four merging entities (MFPL, IOPL, NECCPL) currently hold shares in Pasupati Acrylon and form part of its promoter group. Post-merger, their shareholdings will be consolidated under AEPL, while the remaining entity (VMA Finance) is not a promoter group member.
This is purely an internal restructuring within the promoter group with no direct impact on Pasupati Acrylon's operations or financials. The aggregate promoter group holding in the company will remain unchanged at 65.87%, so there is no change in control and no open offer trigger for minority shareholders.
