The composite Scheme of Arrangement involving Dhani Services (DSL), Indiabulls Enterprises, Yaari Digital Integrated Services, and 17 other group entities has become effective from October 14, 2025, with an appointed date of April 1, 2023, following NCLT Chandigarh Bench approval on August 29, 2025. Under the scheme, DSL and other amalgamating companies will merge into Yaari Digital, while the real estate business of India Land Hotels Mumbai will demerge into Indiabulls Pharmacare. The Board has fixed October 28, 2025, as the Record Date for determining eligible shareholders. DSL shareholders will receive 294 equity shares of Yaari (face value Rs 2) for every 100 fully paid-up DSL shares, or 162 shares for every 100 partly paid-up DSL shares (55% paid). Consequently, DSL's equity shares will be delisted from BSE and NSE.
DSL shareholders will swap their DSL holdings for Yaari Digital shares at the stated ratio and will no longer hold any DSL shares as the stock gets delisted. Existing Yaari shareholders are unaffected; the deal consolidates multiple group entities under Yaari and may simplify the group structure going forward.
