The Board of Ind-Swift Limited has noted the NCLT Chandigarh Bench order dated July 17, 2025 (certified copy received July 29, 2025) sanctioning the Scheme of Amalgamation of Ind-Swift Limited into Ind-Swift Laboratories Limited. The appointed date for the amalgamation is March 31, 2024, and the effective date is August 08, 2025, when the E-Form INC-28 will be filed. Upon effectiveness, Ind-Swift Limited will stand dissolved without being wound up and merged into Ind-Swift Laboratories Limited on a going-concern basis. The Board has fixed Thursday, August 14, 2025, as the Record Date to identify shareholders of Ind-Swift Limited who will receive shares from Ind-Swift Laboratories Limited pursuant to the amalgamation.
Ind-Swift Limited will cease to exist as a separate listed entity after August 8, 2025, with shareholders receiving shares of Ind-Swift Laboratories Limited (NSE Symbol: INDSWFTLAB) in exchange. Existing ISL shareholders should track the Record Date (Aug 14, 2025) for entitlement and prepare for the eventual delisting of Ind-Swift Limited (Scrip Code 524652).
