Narbada Gems and Jewellery Ltd is being amalgamated into Uday Jewellery Industries Ltd under a Scheme of Arrangement approved by the NCLT Hyderabad bench on January 21, 2026. The company has now received the certified copy of the NCLT order (on February 10, 2026) and plans to file it with the Registrar of Companies, which will make the scheme effective. The board has fixed Friday, February 27, 2026 as the Record Date to identify Narbada's eligible shareholders who will receive equity shares of Uday Jewellery Industries in exchange, as per the swap ratio under the scheme.
Narbada shareholders will be issued shares of Uday Jewellery Industries in lieu of their existing Narbada shares upon scheme effectiveness. Existing Narbada shares are expected to eventually be delisted, so investors holding the stock as of the Record Date will become shareholders of Uday Jewellery Industries.
