Narbada Gems and Jewellery has informed BSE that the NCLT Hyderabad bench has sanctioned the scheme of amalgamation of the company with Uday Jewellery Industries Limited, with the certified copy of the order received on February 10, 2026. The board has fixed Friday, February 27, 2026 as the record date to identify eligible shareholders of Narbada Gems who will be issued equity shares of Uday Jewellery Industries in line with the approved scheme. The scheme will become effective once the certified copy of the NCLT order is filed with the Registrar of Companies. The disclosure is being made under SEBI Listing Regulations 30 and 42.
Narbada Gems shareholders who hold shares on the February 27, 2026 record date will receive equity shares of Uday Jewellery Industries in exchange, effectively making this a share-swap driven merger event. Existing shareholders should expect changes in their holdings and trading liquidity as the amalgamation process moves toward completion upon ROC filing.
